By accessing or using TradeVertexAI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

TradeVertexAI is an AI-powered platform that provides live market news analysis. The Service delivers:

• Live market news aggregation and analysis
• AI-powered news sentiment analysis
• Market data and information processing
• Subscription-based access to premium features

Important: TradeVertexAI does not provide trade signals, trading recommendations, or investment advice. The Service is limited to news analysis and information delivery only.

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You must maintain and update your information to keep it accurate
• You are responsible for maintaining the confidentiality of your account credentials

3.2 Single Session Restriction

How It Works:

• When you log in from a new device, any existing active sessions will be immediately invalidated
• You will need to log in again on your previous device if you wish to continue using it
• This restriction helps protect your account security and prevents unauthorized access

Why This Restriction Exists:

• Security: Prevents unauthorized access if your credentials are compromised
• Account Integrity: Ensures only authorized users can access your account
• Subscription Protection: Prevents account sharing that violates subscription terms
• Compliance: Helps maintain compliance with financial data protection regulations

3.3 Account Security

• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Subscription Plans and Billing

4.1 Subscription Tiers

• Standard Plan: Full access with monthly billing (30 messages, 5-minute delay)
• Premium Plan: Full access with monthly billing (50 messages, instant access)

4.2 Billing Terms

• Subscriptions are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• Prices are subject to change with 30 days' notice to existing subscribers
• Automatic renewal unless cancelled before the billing period ends

4.3 Plan Changes (Upgrades and Downgrades)

• You may upgrade or downgrade your subscription plan at any time through the subscription management portal
• Upgrades: Take effect immediately with prorated billing. You will be charged the difference for the remainder of your current billing period. Billing adjustments are calculated automatically based on the time remaining in your current billing period
• Downgrades: Take effect at the end of your current billing period. You will retain access to premium features until the period you paid for ends, ensuring you receive full value from your current subscription. No refunds are issued for partial billing periods when downgrading

4.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial billing periods
• Access to standard or premium features continues until the end of your paid period

4.5 Payment Processing

• Payments are processed through Stripe
• We accept major credit cards, digital wallets (Apple Pay, Google Pay, Amazon Pay), buy now pay later options (Affirm, Klarna), bank transfers, and other regional payment methods
• Available payment methods may vary by region and are displayed during checkout
• You agree to provide valid payment information
• Failed payments may result in service suspension
• We reserve the right to change payment methods or processors

5. Acceptable Use

5.2 Prohibited Activities

You agree NOT to:

• Share your account credentials with others
• Use multiple devices simultaneously with the same account (see Section 3.2)
• Attempt to circumvent single-session restrictions
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Engage in activities that are illegal, unlawful, or contrary to good faith and public order
• Disseminate content or propaganda that is discriminatory, defamatory, or violates human rights
• Cause damage to the physical or logical systems of TradeVertexAI, its suppliers, or third parties, or introduce or spread computer viruses or other harmful elements
• Attempt to access or use email accounts of other users or modify or manipulate their communications
• Use the Service or information contained therein for unauthorized commercial, political, or advertising purposes, including sending unsolicited communications
• Scrape, harvest, or collect data from the Service without explicit written permission
• Use automated systems, bots, or scripts to access the Service in a manner that could disrupt or overload our systems
• Impersonate any person or entity or falsely represent your affiliation with any person or entity

8. Disclaimers and Limitations

To the fullest extent permitted by applicable law: (i) in no event will TradeVertexAI or any of TradeVertexAI Parties be liable for any direct, indirect, special, incidental, consequential, punitive, enhanced or exemplary damages of any kind (including, but not limited to, where related to loss of revenue, income or profits, loss of use or data, trading losses, investment decisions, or damages) arising out of or in any way related to the use of the Services or otherwise related to the Services or these Terms of Use, regardless of the form of action, whether based in contract, tort (including, but not limited to, simple negligence, whether active, passive or imputed), or any other legal theory (even if the party has been advised of the possibility of such damages and regardless of whether such damages were foreseeable).

Notwithstanding the foregoing, our total liability to you for all claims arising out of or related to the Services or these Terms of Use shall not exceed the amount you paid to us in the 12 months preceding the claim.

TradeVertexAI does not warrant that the Services will meet your requirements; that the Services will be uninterrupted, timely, secure, or error-free; that the information provided through the Services is accurate, reliable or correct; that any defects or errors will be corrected; that the Services will be available at any particular time or location; or that the Services are free of viruses or other harmful components.

You assume full responsibility and risk of loss resulting from your downloading and/or use of files, information, content, market analysis, AI-generated insights, or other material obtained from the Services. The AI-powered analysis provided by the Service is based on available data sources and may be incomplete, inaccurate, or outdated. Market news and data are provided by third parties and may contain errors or delays.

8.6 AI Analysis Limitations

The ratings, signals, rankings, and insights offered by TradeVertexAI are generated through artificial intelligence algorithms that calculate probabilities and patterns, not certainties. These AI-driven outputs are intended for informational purposes only and should not be interpreted as investment recommendations or guarantees of future performance.

If any information relating to currency exchange rates or international markets is included, you are advised to consider potential impacts on investment performance based on currency fluctuations. Any forecasts, projections, or predictions provided by the Service are not reliable indicators of future returns or market movements.

9. Release and Indemnification

Short version: You are responsible for your use of the Services. If you harm someone else or get into a dispute with someone else, we will not be involved. And if someone drags us in – you will make sure we get out again without harm and financial loss.

To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless TradeVertexAI, its affiliates and TradeVertexAI's as well as the affiliates' respective past, present and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (the "TradeVertexAI Parties") from and against all claims, demands, actions, damages, losses, costs and expenses (including attorneys' fees) that arise from or relate to: (i) your use of the Services, (ii) your responsibilities or obligations under these Terms of Use, (iii) your violation of these Terms of Use, or (iv) your violation of any rights of any other person or entity, (v) any dispute relating to the Services between you and any other person, and (vi) any regulatory enforcement actions, which were initiated by your actions or omissions.

By using the Service, you acknowledge that:

• You agree to be bound by these Terms
• You understand the single-session restriction and agree to comply with it
• You will not share your account credentials
• You understand that the Service provides analysis, not financial advice
• You are responsible for your own trading and investment decisions

15. Changes to These Terms

Short version: We may update these Terms periodically to reflect changes in our Service or legal requirements. Significant changes that impact your rights will be communicated in advance, while minor updates (such as corrections or clarifications) will take effect immediately. Your continued use of the Service after changes are posted indicates your acceptance of the updated Terms.

TradeVertexAI reserves the right to modify, update, or revise these Terms of Service at any time and at our discretion. When we make substantial changes that materially affect your rights or obligations under these Terms, we will provide advance notice of at least 30 days by displaying a notice on our website or through the Service interface. Minor changes, corrections, or clarifications may be implemented without prior notice, and your continued access to or use of the Service following such changes constitutes your acceptance of the modified Terms.

Additionally, TradeVertexAI may, at any time and without prior notice, modify, suspend, or discontinue any aspect of the Service, including but not limited to features, functionality, or availability, either temporarily or permanently.

TradeVertexAI's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any term or condition of these Terms must be in writing and signed by an authorized representative of TradeVertexAI. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.

The provisions of these Terms that by their nature should survive termination of your use of the Service, including but not limited to sections regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution, shall survive any termination or expiration of these Terms.

The Service may include links to external websites, resources, or content provided by third parties. TradeVertexAI does not exercise control over such external sites, resources, or content. We do not assume any responsibility for the content, accuracy, availability, quality, reliability, or legality of any material or information contained in third-party websites or resources accessed through links on our platform.

The inclusion of external links does not imply endorsement, recommendation, or affiliation with the linked entities or their content. TradeVertexAI is not responsible for any loss, claim, damage, or harm arising from your use of or reliance on any third-party website, resource, or content accessed through links on our Service.

The Service may incorporate reports, comments, notes, analyses, or opinions from third parties. TradeVertexAI does not accept responsibility for any damages or losses, direct or indirect, resulting from the use of such third-party information, publications, or analysis reports. This third-party content may not be copied, reproduced, distributed, or published without the express permission of the original content owner.

18. Right of Exclusion

TradeVertexAI reserves the right to deny or withdraw access to the Service and/or the services offered, without prior notice, at our sole discretion or at the request of a third party, to any user who breaches these Terms of Service, engages in fraudulent or illegal activity, or uses the Service in a manner that we determine to be harmful, disruptive, or inappropriate. This right may be exercised immediately and without liability to TradeVertexAI.
